Terms and Conditions Exhibitor

TERMS AND CONDITIONS EXPO BRAZIL EXHIBITOR AGREEMENT
 
Expo Brazil reserves the right to determine the eligibility of any company or product to be exhibited at the fair and may reject its inclusion at its sole discretion. The Exhibitor agrees that its exhibition will be admitted and will remain in strict compliance with these “Rules and Regulations” and any other rules communicated by the Fair Management to the Exhibitor. The Event Management reserves the right to reject, eject or prohibit any exhibition in whole or in part, either of the Exhibitor or its representative, with or without just cause. If the Exhibitor is expelled by the Show Management for any violation of these Regulations, there will be no refund of any amount paid by the Exhibitor.
 
BOOTH SPACE 
 
Expo Brazil will provide 2 exhibitor badges for standard booths and 4 badges for double booths, one (1) 6' table with black tablecloth and two (2) chairs.
 
All additional equipment and furniture is the responsibility of the Exhibitor. You can provide your own furniture.
 
Electric and dedicated internet services can be requested through the Convention Center. Exhibitors are responsible for their own services.
 
Expo Brazil reserves the right to change the location of the stands at the promoter's discretion if necessary.
 
The stand will be set up on Friday, between 12pm and 10pm.
 
The exhibitor must display only the products or services listed in the contract and NO STAND SHARING is allowed at this event
 
PAYMENT
 
The Exhibitor understands the payment policy and agrees to pay in accordance with the entry terms.
 
No reservation will be guaranteed without full payment for the chosen package.
 
Expo Brazil requires a deposit of $150.00 at the time of signing the contract and the remaining amount can be paid in 3 or 4 installments depending on the final value of the contract and as long as it does not exceed 30 days prior to the event.
 
There will be a $50.00 fee for checks returned without payment.
 
There will be a 50% cancellation fee of the total contracted amount on all cancellations prior to 60 days of the event (ie, and to clarify, 50% deposits are non-refundable). A 50% balance refund is available (if full contract amount is paid in advance) if cancellation is made by February 1, 2024. If cancellation is made after February 1, 2024 and full payment has been made, the cancellation policy is 100% of your contract.
 
Badges are for use by fair participants and may not be sold or used for other purposes. Children under the age of 16 cannot use Exhibitor Badges.
 
Each booth will receive 2 Exhibitor Badges (Gold and Silver) and 4 Exhibitor Badges (Double Booth) and 1 Exhibitor Badge (Entrepreneur table).
Additional Exhibitor Badges cost US$20 each and must be requested within 45 days of the event.
 
OCCUPATION
 
The exhibitor who fails to occupy the contracted space is not exempted from the obligation to pay the full rent of said space as provided for in the signed contract. If not occupied within one hour of the show's start time, such space may be owned by Expo Brazil for purposes it deems convenient.
 
EXHIBITION REGULATIONS
 
Exhibitors must ensure that all noise levels from sound systems are kept to a minimum. Expo Brazil reserves the right to determine at what point the noise level constitutes interference with others and should be discontinued.
 
Any damage caused to the building or its furniture by the Exhibitor is the sole responsibility of the Exhibitor.
 
The Exhibitor agrees to remain installed throughout the exhibition hours. No assembly outside the established times is permitted without the prior consent of the show promoters. See disassembly policy.
 
Booths cannot be dismantled before 7pm on the day of the event, under penalty of a $200.00 fine.
 
Exhibitors must remain within the confines of their exhibition space. Do not block aisle passages. No exhibits may block or interfere with other exhibits or hallway space.
 
MERCHANDISE FOR SALE
 
Exhibitors wishing to sell food at Expo Brazil must present all licenses and insurance, as well as pay a concession fee of $500.00.
 
Food exhibitors that will only offer samples do not need to pay the concession fee, just present licenses, liability insurance and fill out the sample form.
 
The Exhibitor agrees not to sell any adult material to minors.
 
All adult materials must be behind the table or, if displayed on a table or display, bagged, or covered so minors cannot open it.
 
Exhibitor agrees that all merchandise for sale is legal and licensed. Exhibitors must not play, permit the reproduction, performance, or distribution of any copyrighted material at the event unless they have obtained all necessary rights and paid all necessary royalties, fees or other payments.
 
EVENT SCHEDULE POLICY
 
Certain events may force an event date change. If an event is rescheduled, all contracts and payments are linked to the rescheduled date. If the event is not held within three years of the original dates, all fees paid will be refunded
 
SUCCESS GUARANTEE
 
Expo Brazil makes no express or implied warranty as to the success or profitability that you will experience by exhibiting, sponsoring or any other promotion you make at any event produced by Expo Brazil / Qualite Productions.
 
SAFETY
 
Expo Brazil will provide security during the event and security check upon entry.
 
Expo Brazil and its producers are not responsible for stolen or damaged goods within the event.
 
LIABILITY AND FORCE MAJEURE
 
Under no circumstances will Expo Brazil be liable for any loss of profits or any incident, special, indirect, punitive, or consequential.
In no event shall Expo Brazil's maximum liability under any circumstances exceed the amount actually paid to Expo Brazil by the Exhibitor for the rental of exhibition space pursuant to this agreement. Expo Brazil makes no representations or warranties, express or implied, in relation to the number of people who will attend the Event or in relation to any other matter.
 
The Exhibitor agrees to protect, maintain, and exempt Expo Brazil / Qualite Productions from any damage(s) or charge(s) imposed for non-compliance with any ordinance or regulation by the Exhibitor, its employees, or agents, as well as non-compliance with the terms and agreements of this contract. In addition, the Exhibitor shall at all times protect, indemnify, and hold Expo Brazil harmless from any loss, cost damage, liability, injury, or expense arising out of or as a result of any act or omission of the Exhibitor, its employees or agents.
 
Expo Brazil makes no representations or warranties about the location of Exhibitor space, number of Expo participants or who other Exhibitors may be. The Exhibitor will not be entitled to any refund, in whole or in part, of any amounts paid based on actual attendance level.
Expo schedule is subject to change from events outside Expo Brazil's control.
 
In the event that Expo Brazil uses an attorney to enforce any part of the Agreement, all costs, including reasonable attorneys' fees, will be paid by the Exhibitor.
 
Force majeure, Fire, Strikes, Terrorism etc. – In the event of any external cause, such as war, inside or outside the United States of America, fire, strike, terrorism or fortuitous event such as: hurricanes, earthquakes or other emergencies that prevent the event from taking place, Expo Brazil may retain the part of the Exhibitor's rent that will be required to compensate the administration or the Facility for expenses incurred up to the time when the contingency should have occurred.
 
All exhibitors must list Insta Click Events LLC as an additional insured.
 
OPERATIONAL POLICIES OF THE OSCEOLA HERITAGE CONVENTION CENTER (OHCC)
 
Food and Beverage: Food concession services are provided as an exclusive service of OHCC. Food and beverages, including alcohol, cannot be brought into OHCC without written approval.
 
Utilities: OHCC provides electrical power as an exclusive service. Electric tariffs and operating policies are described on separate order forms.
Abandoned Property: Any property not removed from the OHCC that has not been claimed within forty-eight (48) hours after the event ends will be considered abandoned by the Exhibitor. The Expo lost and found will be set up on the main stage.
 
Hazardous Work Areas: Showrooms, loading docks, truck storage areas and service corridors are considered hazardous work areas. Children under sixteen (16) years of age are prohibited at these locations.
 
Exhibits or exhibits, equipment, stock, or supplies may not enter or exit through the front entrances of the OHCC.
 
The Exhibitor warrants that no music or artwork or other copyrighted property will be performed, produced, displayed, or used, nor will the name of any trademarked entity be reproduced, displayed or used during the Exhibitor's use of the Facilities, unless Exhibitor has obtained express written permission and license from the copyright or trademark holder. The exhibitor undertakes to strictly comply with all laws respecting copyright and trademarks and warrants that it will not infringe any statutory, common law or other rights of any person during its use of the Facilities.
 
The Exhibitor is responsible for remitting payment to the appropriate agencies for the use of copyrighted materials.
 
The Exhibitor will indemnify and hold Expo Brazil and its directors, agents and employees harmless from all liabilities, costs and claims, losses and/or damages (including court costs and attorneys' fees) with respect to such copyright or trademark rights.
 
I agree that by exhibiting my products at Expo Brazil, my image may be used to promote the event in the following years.
 
I also agree with the terms and conditions of this contract, I agree to comply with the rules and regulations that govern this event, as well as the guidelines of the exhibitor manual.
 
I hereby affirm that NO VERBAL AGREEMENT HAS BEEN MADE, and that everything I have agreed to is written into this agreement.
 
COVID-19 LIABILITY WAIVER
 
I acknowledge the contagious nature of the Coronavirus/COVID-19 and that the CDC and many other public health authorities still recommend practicing social distancing. 
 
I further acknowledge that Expo Brazil and the Osceola Heritage Park Events Center have put in place preventative measures to reduce the spread of the Coronavirus/COVID-19.
 
I further acknowledge that Expo Brazil and the Osceola Heritage Park Events Center cannot guarantee that I will not become infected with the Coronavirus/Covid-19. 
 
I understand that the risk of becoming exposed to and/or infected by the Coronavirus/COVID-19 may result from the actions, omissions, or negligence of myself and others, including, but not limited to, expo staff, other expo exhibitors, and attending families. 
 
I voluntarily seek to attend The Expo Brazil produced by Insta Click Events LLC. and held at the Osceola Heritage Park Events Center and acknowledge that I am increasing my risk to exposure to the Coronavirus/COVID-19. 
 
I acknowledge that I must comply with all set procedures to reduce the spread while attending my appointment, including, but not limited to, wearing a mask.
 
I attest that: 
 
* I am not experiencing any symptom of illness such as cough, shortness of breath or difficulty breathing, fever, chills, repeated shaking with chills, muscle pain, headache, sore throat, or new loss of taste or smell. 
 
* I have not traveled internationally within the last 14 days. 
 
* I have not traveled to a highly impacted area within the United States of America in the last 14 days. 
 
* I do not believe I have been exposed to someone with a suspected and/or confirmed case of the Coronavirus/COVID19. 
 
* I have not been diagnosed with Coronavirus/Covid-19 and not yet cleared as non-contagious by state or local public health authorities. 
 
* I am following all CDC recommended guidelines as much as possible and limiting my exposure to the Coronavirus/COVID-19. 
 
I hereby release and agree to hold Expo Brazil and the Osceola Heritage Park Events Center harmless from, and waive on behalf of myself, my heirs, and any personal representatives any and all causes of action, claims, demands, damages, costs, expenses and compensation for damage or loss to myself and/or property that may be caused by any act, or failure to act of the event, or that may otherwise arise in any way in connection with any event produced by Insta Click Events at the Osceola Heritage Park Events Center. This liability waiver and release extends to the Expo Brazil with all owners, partners, and employees.
